Terms of Use

Students, employees, and clients (Referred to herein as “Users”) who are enrolled with 365Learn LLC and have access and use of any online services offered and are subject to the following terms and conditions and all applicable laws in the U.S.  We reserve the right to modify, amend or restate the Terms and Conditions from time to time with or without prior notice. Your use of this website and any Services after the posting of modifications to these Terms and Conditions will constitute your acceptance of the Terms and Conditions as modified.

Services

365Learn LLC will offer online teaching, training, and meeting services in the subjects enrolled by the student. The teaching sessions will be held during prescheduled time live interactions through the Internet.  

Schedule of Registration

In consideration of the use 365Learn LLC, the User agrees to provide to 365Learn LLC and its third-party partners true, accurate, current, and complete information as prompted by this Web site’s online registration form (the “Registration/Enrollment Data”) and agrees to maintain and promptly update the Registration Data as necessary in order to keep it true, accurate, current and complete. If Member provides any information that is untrue, inaccurate, not current or incomplete, 365Learn LLC may suspend or terminate Member’s account immediately and may refuse Member all current or future use of services. 

User Compliance

The Services may include message systems, bulletin boards that may provide on-line participation by and interaction among users. All remarks, suggestions, ideas, graphics, or other information communicated to us through our Services will become the property of 365Learn LLC. Without limitation, we will have exclusive ownership of all present and future existing rights to the User Submission of every kind and nature everywhere. We will be entitled to use the User Submission for any purpose whatsoever, without compensation to you or any other person sending the User Submission.

Intellectual Property

This web site contains material, which is derived in whole or in part from materials supplied by us and various other sources. This web site, including but not limited to its text, logos, content, photographs, flash animations, video, audio and graphics (the “Intellectual Property”), is protected by copyrights, service marks, international treaties and/or other proprietary rights and laws of USA. You agree to abide by all applicable copyright and other laws, as well as any additional copyright notices or restrictions contained in our services.

Limitations of Use

365Learn LLC allows all enrolled students, a limited, personal license, to use the services, and the software provided to you in CD or another electronic format. The User shall not copy, reproduce, recompile, decompile, disassemble, reverse engineer, distribute, publish, display, perform, modify, upload to, create derivative works from, transmit or in any way exploit any part of the service, except that you may download material from the service and/or make one print copy for your own personal, noncommercial use, provided that you retain all copyright and other proprietary notices. You may not use the services in any way to improve the quality of any data sold or contributed by you to any third party. In addition, you may not use any of our trademarks, trade names, or service marks in any manner, which creates the impression that such names and marks belong to or are associated with you or are used with our consent, and you acknowledge that you have no ownership rights in and to any of these names and marks.

You acquire absolutely no rights or licenses in or to the Services and materials contained therein other than the limited right to utilize the Services in accordance with the Terms and Conditions. Should you choose to download content from the Services, you must do so in accordance with the Terms and Conditions. Such download is licensed to you by us only for your own personal, noncommercial use in accordance with the Terms and Conditions and does not transfer any other rights to you.

Liability

While we endeavor to maintain the highest professional quality of the Services we offer, we cannot be held responsible for any errors, defects, lost profits, or other consequential damages arising from the use of our services. We will not be liable for any damages or injury, including but not limited to, special or consequential damages that result from any failure of performance, error, omission, interruption of work, defect, delay in operation of transmission, or computer virus, computer failure, the use of, or the inability to use, the materials in the Services even if there is negligence by us or an authorized representative of us; student has been advised of the possibility of such damages. The above limitation or exclusion may not apply to you to the extent that applicable law may not permit the limitation or exclusion of liability for incidental or consequential damages. Our total liability to you for all losses, damages, and causes of action will not exceed the amount you paid to us to utilize our Services.

Cancellation Policy

The Terms and conditions are effective until you cancel your enrollment or 365Learn LLC cancels your enrollment. You may cancel your enrollment as set forth in this document by contacting our customer support by e-mail or phone or simply cancel your account using your administrator privilege. This Agreement will terminate immediately without notice from us if we, in our sole discretion, decide to terminate it. You will be required to remove all software installation from your computer and cease usage of any supplemental educational material stored either in our computer network or stored on your computers.

Assurance

You agree, to the extent permitted by applicable law, to indemnify and hold 365Learn LLC, our officers, directors, owners, agents, and employees are harmless from any claim or demand, including reasonable attorney’s fees, made by any third party due to or arising out of your use of the Services, the violation of these Terms and Conditions by you, or the infringement by you, or other users of the Services using your computer, of any Intellectual Property or another right of any person or entity. We reserve the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

Severability

In the event that any one or more of the provisions contained herein shall, for any reason, be held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any other provisions of this agreement, but this agreement shall be construed as if such invalid, illegal or unenforceable provisions had never been contained herein unless the deletion of such provision or provisions would result in such a material change so as to cause completion of the transactions contemplated herein to be unreasonable.

Covenant

By using 365Learn LLC, you agree to the above-stated terms and conditions. This Agreement is entered into in the State of Florida and shall be construed in accordance with the laws of the State of Florida, exclusive of its choice of law rules. Each party to this Agreement submits to the exclusive jurisdiction of the state and federal courts having jurisdiction in the State of Florida and waives any jurisdictional, venue, or inconvenient forum objections to such courts. In any action to enforce this Agreement, the prevailing party will be entitled to costs and attorneys’ fees. In the event that any of the provisions of this Agreement are held to be unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect. This Agreement constitutes the entire understanding between the parties pertaining to the subject matter hereof, and any prior written or oral agreements between the parties are expressly canceled. 365Learn LLC may modify the terms of this Agreement by posting notice of such modification on this page before the modification takes effect. You are bound by such revisions and should periodically visit this page to review the current Terms of Use.
